1. Parties & scope
This Software License Agreement is between Novara Consulting Group ("Licensor") and the purchasing organization ("Licensee"). It covers Licensee's use of the Novara application(s) identified on the order (the "Software").
2. License grant
Licensor grants Licensee a non-exclusive, non-transferable license to install and use the Software on up to the number of devices/seats stated on the order, for the license term (perpetual or a stated number of years), for Licensee's internal programmatic use serving its clients.
3. Usage credits
Cloud-assisted features consume usage credits from the allotment on the order. Credits are pooled across the organization. Additional credits ("top-up packs") may be purchased. Rate limits may apply as stated on the order.
4. Support & training
Technical support and staff training/onboarding are provided when purchased as separate line items, per the service levels described on the order.
5. Accessibility conformance
The Software is designed to conform with Section 508 and WCAG 2.1 Level AA. A VPAT/Accessibility Conformance Report is available on request.
6. Data & privacy
Licensor processes data on-device where feasible and does not sell personal data. Data-handling documentation is available to support Licensee's privacy/security review.
7. Term & termination
The license runs for the term on the order. Either party may terminate for uncured material breach. On termination, Licensee ceases use; perpetual licenses survive except where terminated for breach.
8. Warranty & liability
The Software is provided on the terms stated in the order; Licensor's aggregate liability is limited as set out therein. Nothing limits liability that cannot be limited by law.
9. Pricing & payment
Fees, term, seats, and credit allotment are as stated on the order/quote. Public-sector payment terms and procurement vehicles can be accommodated.
10. Governing law
Governing law and venue are as stated on the order.
